These Terms of Service ("Terms") are a binding agreement between you (and any organization you represent) and RadarDB, LLC ("Radar") governing access to and use of the Radar platform, websites, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

The Service

Radar provides software to digitize, organize, search, monitor, and share aircraft maintenance records and related collateral information. We may update, add, or remove features over time. Some features may be offered as beta or limited releases and may change or be discontinued.

Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping credentials secure, for all activity under your account, and for the users you invite. Provide accurate information and promptly notify us of any unauthorized use at security@useradar.com.

Your data and content

As between you and Radar, you retain all rights to the records and content you upload ("Customer Data"). You grant Radar a worldwide, non-exclusive license to host, process, transmit, extract, index, display, and back up Customer Data solely to provide and improve the Service and as you direct (for example sharing with a vendor, appraiser, auditor, or bank). You represent that you have the rights needed to upload and share Customer Data and that doing so does not violate any law or third-party right. You are responsible for the accuracy and completeness of Customer Data.

Acceptable use

You agree not to:

• Use the Service in violation of any law or regulation, or to infringe any third-party right.

• Upload content you do not have the right to use, or that is unlawful, harmful, or malicious.

• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems.

• Reverse engineer, scrape, or copy the Service except as permitted by law.

• Resell or provide the Service to third parties except as expressly permitted.

Fees and payment

Paid plans are billed in advance on the cycle shown at purchase (for example per tail, per month). Fees are non-refundable except as required by law or expressly stated. You authorize us and our payment processor to charge your payment method for applicable fees and taxes. We may change pricing prospectively with notice, and changes apply at your next renewal. Promotional or limited-time offers apply only as described and may end. Non-payment may result in suspension.

Free and beta features

Free, trial, and beta features are provided "as is" and may be modified or withdrawn at any time. Free access may close when capacity is reached.

Intellectual property

Radar and its licensors own the Service, including all software, content, and trademarks, excluding Customer Data. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Any feedback you provide may be used by Radar without obligation to you.

Confidentiality

Each party may receive the other's confidential information and will protect it with reasonable care and use it only to perform under these Terms.

Term, suspension, and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, or to protect the Service or others, with reasonable notice where practicable. On termination, your right to use the Service ends. You may export Customer Data before termination and, for a limited period afterward on request, after which we may delete it consistent with our Privacy Policy.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Radar is a records and information platform. It does not replace your legal obligations to create, maintain, and retain accurate maintenance and compliance records, and it does not provide legal, financial, airworthiness, appraisal, or lending advice. Values, estimates, and reports generated by the Service are informational and do not guarantee any outcome.

Limitation of liability

To the maximum extent permitted by law, Radar will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Radar's total liability arising out of or relating to the Service will not exceed the amounts you paid to Radar for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You will defend and indemnify Radar against third-party claims arising from your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, unless you and Radar agree otherwise in a separate written agreement.

Changes to these Terms

We may update these Terms. We will revise the date above and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.

Miscellaneous

These Terms, together with any order or written agreement between you and Radar, are the entire agreement on this subject. If any provision is unenforceable, the rest remains in effect. Neither party is liable for delays or failures caused by events beyond its reasonable control. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
